Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") govern access to and use of the Groundwork construction management platform (the "Service"), provided by Groundwork, Inc. ("Groundwork," "we," "us"). By creating an account or otherwise accessing the Service, you agree to be bound by these Terms on behalf of yourself and, where applicable, the organization you represent ("Customer").

2. The Service

Groundwork provides a construction project management platform covering estimating, scheduling, RFIs, submittals, change orders, document management, payroll/certified-payroll support, and related modules, offered as a hosted (SaaS) subscription or as a self-hosted deployment under a separate license, at Groundwork's discretion.

3. Accounts and Access

Customer is responsible for all activity under its account, for maintaining the confidentiality of login credentials, and for ensuring its authorized users comply with these Terms. Groundwork may suspend access for a material breach, non-payment, or a genuine security threat, with notice where practicable.

4. Fees and Payment

Fees are as set out in the applicable order form or pricing page. Unless stated otherwise, subscription fees are billed in advance and are non-refundable except as required by law or expressly stated in an order form. Late payment may result in suspension after notice.

5. Customer Data

Customer retains all right, title, and interest in the data it submits to the Service ("Customer Data"). Groundwork uses Customer Data solely to provide, secure, and support the Service, and as described in the Privacy Policy and a Data Processing Addendum where applicable. Customer Data is exportable in standard formats at any time during an active subscription and for a defined period after termination.

6. Open-Source Core

Portions of the Service are built on an AGPL-3.0-licensed open-source codebase. Nothing in these Terms restricts rights already granted under that license for the underlying open-source software; these Terms govern the hosted Service, associated support, and any proprietary extensions Groundwork provides on top of it.

7. Acceptable Use

Customer will not use the Service to violate law, infringe third-party rights, transmit malicious code, or attempt to circumvent security or usage limits. See the Acceptable Use Policy for detail.

8. Warranties and Disclaimers

Except as expressly stated in an order form or SLA, the Service is provided "as is" without warranties of any kind, to the maximum extent permitted by law.

9. Limitation of Liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, or consequential damages, and each party's total liability arising out of these Terms is capped at the fees paid by Customer in the twelve months preceding the claim, except for obligations that cannot be limited under applicable law.

10. Term and Termination

These Terms remain in effect while Customer has an active subscription. Either party may terminate for the other's uncured material breach. Upon termination, Customer may export its data for a reasonable retrieval period before deletion.

11. Changes to These Terms

Groundwork may update these Terms from time to time. Material changes will be notified to active customers in advance of taking effect.
